1.1 Agreement. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Eru Technologies, Inc., a Delaware corporation ("Eru," "Company," "we," "us," or "our"). These Terms govern your access to and use of Eru's data platform, including all associated software, APIs, integrations, artificial intelligence features, and related services (collectively, the "Platform" or "Service").
1.2 Acceptance. By accessing or using the Platform, creating an account, or by clicking "I Agree" or similar acceptance mechanism, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1.3 Eligibility. The Platform is intended for use by businesses and organizations. By using the Platform, you represent that: (a) you are at least 18 years of age; (b) you have the legal capacity to enter into binding contracts; and (c) you are accessing the Platform on behalf of a business entity that you are authorized to represent.
1.4 Modifications. We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the Platform at least thirty (30) days before such changes take effect.
2.1 Account Provisioning. Customer's account may be created: (a) by Eru upon completion of an onboarding process; or (b) by Customer through self-service registration on the Platform.
2.2 Account Security. You are responsible for: (a) maintaining the confidentiality of your account credentials; (b) all activities that occur under your account; and (c) promptly notifying Eru of any unauthorized access or security breach.
2.3 Authorized Users. You may permit your employees, contractors, and agents ("Authorized Users") to access the Platform under your account. You are responsible for ensuring that all Authorized Users comply with these Terms.
3.1 Platform Overview. The Platform is a data integration and intelligence service designed to: (a) connect to Customer's third-party business systems; (b) reconcile and normalize data across connected systems; (c) map data relationships via graph-based visualization; (d) provide health checks and monitoring; and (e) enable natural language queries through an AI-powered chat interface.
3.2 Third-Party Integrations. The Platform integrates with third-party services and systems designated by Customer. Eru is not responsible for the availability, accuracy, or functionality of any third-party services.
3.3 AI-Powered Features. The Platform utilizes artificial intelligence and large language models ("AI Features") to process data and generate Outputs. Customer acknowledges that:
(a) AI Features are provided for informational and decision-support purposes only.
(b) Eru does not warrant or guarantee the accuracy, completeness, reliability, or suitability of any Outputs.
(c) Customer is solely responsible for independently verifying all Outputs before making any business decisions.
4.1 Ownership of Customer Data. As between Eru and Customer, Customer retains all right, title, and interest in and to Customer Data. Nothing in these Terms transfers ownership of Customer Data to Eru.
4.2 License to Customer Data. Customer grants Eru a non-exclusive, worldwide, royalty-free license to access, use, process, copy, transmit, store, and display Customer Data solely to provide, operate, and improve the Platform.
4.3 No Model Training. Eru does not use Customer Data to train machine learning or artificial intelligence models.
4.4 Data Security. Eru will implement and maintain reasonable administrative, technical, and physical safeguards designed to protect Customer Data against unauthorized access, disclosure, alteration, or destruction.
5.1 Fees. Customer agrees to pay all fees as set forth in the applicable Order Form, proposal, or pricing schedule agreed upon during onboarding.
5.2 Late Payment. If Customer fails to pay any amounts when due, Eru may charge interest on overdue amounts at the rate of 1.5% per month.
5.3 No Refunds. All Fees are non-refundable except as expressly set forth in these Terms.
6.1 Eru IP. Eru and its licensors own all right, title, and interest in and to the Platform, including all software, algorithms, models, interfaces, documentation, and all related intellectual property rights.
6.2 License to Platform. Subject to Customer's compliance with these Terms, Eru grants Customer a limited, non-exclusive, non-transferable license to access and use the Platform solely for Customer's internal business purposes during the Term.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." ERU EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, BUSINESS, OR ANTICIPATED SAVINGS.
EACH PARTY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE BY CUSTOMER TO ERU DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.
9.1 Term. These Terms commence on the date Customer first accesses the Platform and continue until terminated.
9.2 Termination for Cause. Either party may terminate these Terms immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days.
10.1 Governing Law. For Customers located in the United States, these Terms shall be governed by the laws of the State of Delaware. For Customers in the UK or EU, these Terms shall be governed by the laws of England and Wales.
10.2 Entire Agreement. These Terms constitute the entire agreement between the parties regarding the subject matter hereof.
